Legal Counsel, Head of Global Markets (Equities)

About the role

Nomura is seeking an experienced Legal Counsel to lead the Equities legal function within its Global Markets division. Reporting to the Head of Global Markets Legal, you will be responsible for managing legal risk and providing strategic advice across a wide range of equity products.

Key responsibilities

• Oversee legal risk management for the Equities business, including equity derivatives, cash and synthetic prime brokerage, and equity margin and fund finance loans.
• Partner with the business to structure, negotiate, document and execute equity transactions.
• Collaborate with risk, compliance and other stakeholder groups to ensure products stay within the firm’s risk appetite.
• Lead the creation, regulatory analysis and launch of new equity products and services.
• Interpret and implement regulatory changes affecting equities.
• Provide legal guidance to Business, Risk, Compliance and senior management.
• Manage a dedicated Equities lawyer (VP level) and support broader department leadership.

Required profile

• Senior lawyer from private practice or a leading investment bank with deep expertise in equities products.
• Proven experience managing junior lawyers.
• Strong knowledge of equity derivatives, margin loans and fund finance structures.
• Familiarity with industry documentation such as LMA and ISDA agreements.
• Understanding of jurisdictional, security, finance, insolvency and enforcement considerations.

Required skills

• Expertise in equity product documentation and commercial negotiation drivers.
• Strong drafting abilities and awareness of current market practices.
