Executive / Senior Executive – Governance

About the role

FRP Group’s One Advisory team is looking for an Executive or Senior Executive to join its governance practice. You will work directly with board members and senior directors, gaining early exposure to boardroom dynamics across a diverse client base that includes FTSE‑listed firms, AIM tech start‑ups and private companies.

Key responsibilities

• Support the full board and committee meeting cycle, including agenda preparation, minute taking and follow‑up actions.
• Plan and attend shareholder meetings, ensuring compliance with statutory requirements.
• Advise clients on annual reports and the application of relevant Governance Codes.
• Provide MAR (Market Abuse Regulation) compliance advice, maintain records and manage filings.
• Assist with corporate transactions such as M&A, IPOs, RTOs, delistings, equity fundraisings, share buy‑backs and capital reorganisations.

Required profile

• Experience in corporate governance or company secretarial roles, preferably with UK listed entities.
• Strong understanding of board processes, governance codes and regulatory requirements.
• Ability to work autonomously while supporting senior colleagues and senior management.
• Ambition to progress to a lead advisory role on a portfolio of clients.

Required skills

• Knowledge of UK corporate governance frameworks and MAR compliance.
• Familiarity with board meeting procedures and shareholder engagement.
