In‑House Legal Counsel – Remote (UK)

About the role

As an In‑House Legal Counsel at Sedna, you will own day‑to‑day legal operations and manage the full contract lifecycle for a fast‑growing AI‑powered global‑trade platform. You will be the first line of legal support for go‑to‑market and finance teams, while coordinating external counsel across multiple jurisdictions.

Key responsibilities

• Draft, review, and negotiate B2B SaaS commercial agreements including MSAs, order forms, DPAs, NDAs, SOWs, renewals and amendments.
• Maintain contract repositories, track key terms and obligations, and own the legal playbook.
• Provide legal support to the GTM team, triage RFP/security/legal questionnaires and pre‑clear customer paperwork.
• Review inbound vendor contracts, DPAs and renewals; maintain a vendor contract register and flag material commitments.
• Support corporate governance tasks such as board minutes, shareholder resolutions, cap table filings and coordination with local counsel.
• Handle routine compliance work including GDPR/UK GDPR, DPIAs, data‑subject requests, and IP/trademark registers.
• Assist with employment matters in partnership with external counsel.
• Support M&A, financing and corporate transactions by running diligence checklists, managing data rooms and coordinating external counsel deliverables.

Required profile

• Qualified solicitor (England & Wales) with 1‑3 years post‑qualification experience.
• Experience reviewing and negotiating B2B SaaS commercial contracts.
• Working knowledge of UK GDPR and data‑protection requirements in a SaaS context.
• Comfortable acting as the sole lawyer for routine matters and knowing when to involve external counsel.
• Highly organised, responsive and able to meet commercial deadlines.

Required skills

• Proficiency with contract‑management tooling such as Juro or equivalent.
