Corporate Lawyer

About the role

This fixed‑term position supports a PLC group’s subsidiary restructuring programme. Reporting to the Group Legal Director, you will work globally alongside the Group General Counsel and Company Secretary within a collaborative, high‑performing team.

Key responsibilities

• Provide legal support for corporate transactions, divestments and disposals.
• Support subsidiary restructuring, entity rationalisation and simplification projects.
• Draft, review and negotiate transaction documentation such as SPAs, TSAs, NDAs and intra‑group agreements.
• Manage legal due diligence and assist with transaction execution.
• Coordinate with Company Secretariat, Finance, Tax and external counsel across multiple jurisdictions.
• Identify and mitigate legal risks linked to restructurings and disposals.
• Support governance, board approvals and regulatory compliance requirements.

Required profile

• Qualified Solicitor in England & Wales or a Commonwealth jurisdiction with at least 2 years post‑qualification experience.
• Strong corporate law background gained in‑house or in private practice, familiar with corporate governance.
• Proven track record in corporate governance, disposals, restructurings and cross‑border transactions.
• Experience in legal entity simplification and subsidiary reorganisation programmes.
• Commercially minded, pragmatic and able to operate autonomously in a fast‑paced environment.
• Previous PLC or multinational experience is desirable but not mandatory.
