Senior Legal Counsel - M&A/PE

About the role

Oliver James is seeking a Senior Legal Counsel to join its in‑house team in London. The role sits at the heart of a leading private equity investor, providing hands‑on involvement in high‑value acquisitions, disposals and portfolio company matters across Europe and beyond.

Key responsibilities

• Lead legal work streams on buy‑side and sell‑side M&A transactions.
• Draft, review and negotiate Sale and Purchase Agreements and related documentation.
• Advise on transaction structuring, commercial risk and regulatory approvals.
• Coordinate legal due‑diligence and manage external counsel.
• Support portfolio companies on corporate, restructuring and commercial legal issues.
• Collaborate closely with senior investment professionals throughout the deal lifecycle.

Required profile

• Qualified solicitor in England & Wales with 5‑8 years PQE.
• Experience in a top Corporate M&A or Private Equity practice, or comparable in‑house role.
• Strong commercial judgement and ability to manage multiple live transactions.
• Proven track record negotiating complex legal documentation.
• Collaborative approach and confidence engaging senior stakeholders.

Required skills

• Drafting and negotiating SPAs and transaction documents.
• Legal due‑diligence and regulatory compliance.
• Management of external legal advisers.
