Board Member – Legal & Governance

About the role
We are seeking a seasoned legal executive to join the Board of Directors of a fast‑growing energy and infrastructure group with operations across West Africa. This voting, non‑executive position is part‑time and remote, providing strategic legal and governance oversight to support the company’s cross‑border expansion and major projects.
Key responsibilities
- Provide board‑level legal and governance oversight for the organisation.
- Advise on corporate strategy, capital projects, investments and cross‑border growth initiatives.
- Offer legal insight on large‑scale energy and infrastructure transactions, including power generation, pipelines and oil & gas projects.
- Guide the Board on multi‑jurisdictional regulatory, tax, compliance and risk matters, particularly in Francophone and Anglophone West Africa.
- Support ESG, HSE, ethics and stakeholder‑transparency practices.
- Participate in Board committees such as Audit, Risk, Governance or Compensation.
- Provide independent counsel to the Board Chair, CEO and senior leadership.
Required profile
- Law degree (JD, LLB or equivalent international qualification).
- 20+ years of experience in energy, infrastructure, project law, structured finance or regulatory matters.
- Senior‑level experience as General Counsel, Chief Legal Officer, law‑firm partner or comparable executive role.
- Prior fiduciary board or board‑committee experience.
- Proven track record with major energy projects, international transactions and development finance institutions.
- Strong understanding of international legal frameworks, ideally including OHADA and other African legal systems.
- Experience working in or advising organisations operating in West Africa.
- Fluency in French and English is strongly preferred.
