Legal Counsel – Treasury & Structured Finance (Senior)

About the role

Santander is seeking a Senior Legal Counsel to join its Treasury & Structured Finance Legal team in London. The role provides specialist legal advice to the CFO Division and other business units on a wide range of structured finance transactions and regulatory matters.

Key responsibilities

• Structure, negotiate and execute structured finance transactions across asset classes such as retail mortgages, unsecured personal loans and commercial banking assets.
• Draft, review and negotiate documentation for asset rotation, capital optimisation, insurance, securitisations, CLOs and derivative transactions.
• Monitor legal and regulatory developments in the structured finance space and contribute to internal and external working groups.
• Engage with and manage external counsel, acting as the primary legal contact for trustees, paying agents and other transaction parties.
• Support strategic bank‑wide projects, including the optimisation of the legal function through digital and AI solutions.

Required profile

• Qualified lawyer with several years of experience in structured finance, corporate governance and treasury‑related legal matters.
• Deep understanding of CRR, capital and liquidity regulations and experience providing regulatory opinions.
• Proven ability to work independently, manage complex transactions and liaise with senior business stakeholders.
• Strong analytical mindset and proactive approach to risk management.
