Legal Counsel

About the role

Docebo is seeking a Legal Counsel to own the negotiation and management of its commercial contract ecosystem. You will act as the trusted legal advisor for global Sales, Dealdesk, and RFP teams, balancing business objectives with risk in a fast‑moving SaaS environment.

Key responsibilities

• Manage the full negotiation lifecycle for Master Service Agreements, partnership agreements, Statements of Work, SLAs, Software Service Addendums (including AI terms), NDAs and other client contracts.
• Partner with Sales, Dealdesk, Partnership, Security and Finance teams, chairing or joining meetings to move deals forward and resolve risk.
• Draft and refine legal terms, contract templates and amendments, improving related workflows.
• Conduct forensic reviews of client contracts to identify risk early and ensure consistency with Docebo standards.
• Advise Sales on contract questions, disputes and terminations.
• Support the RFP team on tender responses and major sales documents.
• Assist the Partnership team in negotiating strategic partnership, professional services, referral and reseller agreements.
• Maintain contract records for benchmarking and help tighten contract administration processes.
• Coordinate training so internal and external stakeholders understand contract standards and terms.

Required profile

• JD or LLB from an accredited law school and admission to practice law in the United Kingdom.
• 3+ years of experience as in‑house counsel, preferably in SaaS/technology environments.
• Demonstrated experience drafting, negotiating and closing SaaS subscription agreements, data‑privacy and information‑security contracts.
