Senior Legal Counsel – Secondaries Transactions (Private Equity)

About the role

Join a leading global private markets investment manager as a Senior Legal Counsel focused on secondaries transactions. Based in London, you will work closely with investment professionals, senior management and external counsel on complex, high‑value deals across multiple jurisdictions.

Key responsibilities

• Lead legal aspects of fund formation and governance for UK, US, Cayman and Luxembourg private equity structures.
• Partner with investment, product and investor‑relations teams on fund structuring and new product initiatives.
• Manage external counsel and negotiate fund documentation such as limited partnership agreements, PPMs and subscription agreements.
• Act as lead adviser on acquisitions and disposals of primary and secondary fund interests, including portfolio transactions.
• Advise on transaction structuring, tax and regulatory considerations, and negotiate purchase and sale agreements, side letters and related documents.
• Coordinate transaction closings and stakeholder management across jurisdictions.
• Lead legal work‑streams for NAV facilities and subscription credit facilities.

Required profile

• Qualified lawyer with extensive experience in private funds, preferably within private equity secondaries.
• Proven track record of handling complex fund formation, restructuring and transaction execution.
• Strong understanding of tax, regulatory and cross‑border legal issues in private equity.
• Experience managing external counsel and negotiating sophisticated transaction documents.
• Ability to work collaboratively with investment, product and investor‑relations teams.
