Assistant Company Secretary

About the role

Paragon, an award‑winning UK bank, is seeking a newly qualified Assistant Company Secretary to join its governance team. This role offers the chance to develop your corporate secretarial expertise in a supportive, inclusive environment while working on high‑profile board and risk committees.

Key responsibilities

• Act as secretary to the Executive Risk Committee and Board Risk and Compliance Committee, preparing accurate minutes and distributing them promptly.
• Draft, verify and maintain key governance documents, including sections of the annual report and compliance analysis against the 2024 UK Corporate Governance Code.
• Ensure a portfolio of subsidiaries meets legal, regulatory and internal governance obligations (Companies Act 2006, FCA/PRA, Stock Exchange rules, Paragon’s framework).
• Support the General Counsel and Deputy Company Secretary with analysis of new business, legislative developments and corporate governance implications.
• Assist with subsidiary meetings, collate papers, and produce concise minutes.

Required profile

• 2‑3 years of company secretarial experience, preferably in a listed or financial services environment.
• Qualified or materially part‑qualified Chartered Secretary, Lawyer or equivalent professional qualification.
• Strong organisational abilities, capable of working under pressure and meeting tight deadlines.
• Proactive, able to work independently and as part of a busy professional team.
