Director, Legal (Vendor)

About the role

MUFG Investor Services is looking for an experienced senior lawyer to join a small but global legal team in its London office. The successful candidate will have broad commercial law experience and will advise the business on legal matters, risk management and commercial strategy.

Key responsibilities

• Draft, review and negotiate vendor contracts, including Master Services Agreements, Statements of Work, Software License Agreements, Subscription as a Service Agreements, Engagement Letters and NDAs, and escalate vendor contractual issues with Vendor Management, Outsourcing, Data Protection, Legal, Information Security and business teams.
• Advise on day-to-day legal and regulatory matters across key jurisdictions, including the EBA Guidelines on Outsourcing Arrangements and the Digital Operational Resilience Act, and implement and track updates to remediated contracts.
• Manage vendor contract matters end to end: taking instructions, gathering information, setting timelines, reviewing and drafting documents, and managing stakeholder expectations.
• Work closely with Vendor Management, helping improve contract review processes and procedures and providing final legal sign-off where needed.
• Answer vendor legal queries from operational departments, internal control and support groups, client integration and client services teams, and senior management and entity boards.
• Support projects affecting vendors and handle ad hoc duties as required.

Required profile

• Qualified English solicitor with at least 5-10 years PQE, admitted to the Law Society of England and Wales and in good standing.
• Broad knowledge of financial services is beneficial.
