Transaction Services Manager / Associate Director – Sale & Purchase Agreements

About the role

We are seeking a Transaction Services Manager or Associate Director to lead and support Sale & Purchase Agreement (SPA) engagements for a leading Big 4 firm in London. The role involves advising on price structuring, agreement vetting and post‑completion matters within a dynamic, client‑focused environment.

Key responsibilities

• Lead work streams on medium‑size engagements and contribute to larger, complex transactions.
• Provide price‑structuring advice and vet SPA terms, including completion accounts, locked‑box and deferred consideration provisions.
• Deliver vendor‑assist services such as preparing locked‑box documentation.
• Offer post‑completion support on completion and earn‑out accounts and advise on commercial negotiations and disputes.
• Develop and maintain client relationships to generate new business.
• Participate in practice development, risk management and people development initiatives.

Required profile

• Significant experience in transaction services or M&A due diligence.
• Strong understanding of price adjustment mechanisms, locked‑box arrangements and earn‑out provisions.
• Background in financial due diligence and/or financial audit.
• ACA qualification or equivalent, with a solid academic record.
